Terms of Service

These Terms of Service are an agreement between ZEROZAI LLC ("ZeroZAI", "we", "us") and the business that creates an account ("you"). By creating an account or using the service, you agree to these terms.

1. The service

ZeroZAI provides an AI employee that answers business phone calls, speaks with callers using the instructions and knowledge you configure, and produces call records, transcripts, summaries, leads, contact details and, where configured, appointment details and text messages. The service may include a phone number provisioned for your business and call routing to that number.

The service is delivered as-is and evolves over time. We may add, change or remove features. We will not remove a feature you rely on without reasonable notice where practical.

2. Accounts

You must provide accurate account and business information and keep it current. You are responsible for all activity under your account, for the security of your email inbox and sign-in links, and for the users you invite and the permissions you grant them. You must be authorized to enter into this agreement on behalf of your business.

3. Trials and usage limits

Trial accounts include a limited trial period and a limited number of included voice minutes, and a maximum duration per call. When a limit is reached, the service may stop answering calls for that account until the limit resets or a paid plan is active. Trial allowances are granted per business and per account, and we may limit how many trials one account can receive.

4. Your responsibilities

You are solely responsible for:

  • The information, knowledge and instructions you give to the AI employee, and for the accuracy and legality of your business configuration.
  • Any website content you ask us to read for training, and your right to use that content.
  • Providing any caller notices and obtaining any consents required in your jurisdiction for recording, monitoring or transcribing calls, including where callers are located in states or countries that require all-party consent.
  • Compliance with all applicable telephone, messaging and privacy laws, including telemarketing, do-not-call, automated-dialing, call-recording, wiretap, and consumer-protection rules, and with carrier and industry messaging requirements.
  • Ensuring the service is never used, presented, or relied on for emergency services. The AI employee cannot call emergency services and cannot dispatch help.
  • Reviewing AI-generated transcripts, summaries, leads and appointment details before relying on them for decisions, commitments, quotes, scheduling or records.
  • Maintaining accurate business hours, pricing, service area and availability information so the AI employee does not communicate incorrect information to callers.
  • Lawful use of any phone number, call routing and messaging functionality made available through the service.
  • Any obligations you owe to your own customers, including responding to their privacy requests.

5. Acceptable use

Your use of the service is subject to our Acceptable Use Policy, which is part of these terms. Violating it may result in immediate suspension or termination.

6. AI limitations

The AI employee generates responses automatically. It can misunderstand callers, mishear names, numbers or addresses, produce inaccurate or incomplete summaries, or say something you did not intend. We do not guarantee accuracy, and we do not guarantee that every call will be answered or that the service will be uninterrupted or error-free. You should not use the service as the sole record of a conversation or as a substitute for professional judgment in regulated, medical, legal or financial matters.

7. Emergency services

The service is not a telephone replacement for emergency calling. It does not support 911 or any other emergency number, does not transmit location information to emergency responders, and must not be presented to callers as a way to reach emergency help. Callers with an emergency must be directed to dial emergency services directly.

8. Call recording and notification

Where recording is enabled, recording begins when the call is answered. A recording disclosure is spoken at the start of the AI employee's greeting. You remain responsible for determining whether that disclosure is sufficient in your jurisdiction and for configuring or disabling recording accordingly. Recordings are deleted automatically after the retention window described in the Privacy Policy.

9. Customer content and data

You keep ownership of the business information, knowledge, instructions and call data associated with your account. You grant us a limited license to host, process, transmit and display that content solely to provide, secure and support the service. You represent that you have the rights and permissions needed for us to do so.

10. Intellectual property

ZeroZAI and its software, interfaces, prompts, documentation and branding remain our property. These terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, reverse engineer, resell, or create derivative works from the service, or use it to build a competing product.

11. Third-party services

The service depends on third-party telecommunications, hosting, database and AI providers. Their outages, changes, rate limits or policy decisions can affect the service. We are not responsible for third-party services we do not control, and we do not guarantee their availability.

12. Fees, future paid plans and billing

Paid subscriptions are not yet generally available. When we introduce them, pricing, included usage and overage treatment will be presented before you subscribe, and no charge will be made without your authorization. Paid plans will renew automatically for the stated period unless cancelled before the renewal date. You are responsible for applicable taxes.

13. Cancellation and refunds

You may cancel at any time by contacting hello@zerozai.com or through the account interface where available. Cancellation takes effect at the end of the current paid period, and access continues until then. Except where required by law, fees already paid are non-refundable and partial periods are not prorated. If we terminate your account without cause, we will refund any unused prepaid fees.

14. Suspension and termination

We may suspend or terminate an account immediately if we reasonably believe it is being used unlawfully, in violation of the Acceptable Use Policy, in a way that harms callers, the phone network or other customers, or if required by a provider or authority. We may also suspend an account for non-payment or for exceeding usage limits. Where practical, we will notify you and give you an opportunity to correct the issue.

On termination, your right to use the service ends. You may request an export of your data before deletion, and data is handled as described in the Privacy Policy.

15. Disclaimers

The service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the service will meet your requirements or comply with the laws applicable to your business. We do not provide legal advice and do not warrant that your use of the service is compliant with the rules that apply to you.

16. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or missed calls or opportunities. Our total aggregate liability arising out of or relating to the service is limited to the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or one hundred U.S. dollars.

17. Indemnification

You will defend, indemnify and hold harmless ZEROZAI LLC and its officers, employees and agents from any claim, loss, liability, fine or expense (including reasonable legal fees) arising out of your business information or instructions, your use of the service, the calls or messages made or received through your account, your violation of these terms or the Acceptable Use Policy, or your violation of any law or the rights of a third party, including any claim by a caller.

18. Changes to these terms

We may update these terms. The effective date and version at the top of this page will change, and material changes will be communicated to account owners. Continuing to use the service after an update means you accept the revised terms.

19. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located there. Each party will first attempt in good faith to resolve any dispute informally by contacting the other.

20. General

These terms, together with the Privacy Policy and Acceptable Use Policy, are the entire agreement between the parties regarding the service. If a provision is found unenforceable, the rest remains in effect. Neither party may assign this agreement without the other's consent, except in connection with a merger or sale of substantially all assets. Failure to enforce a provision is not a waiver.
